Domus Windows & Doors Limited – Terms & Conditions

The Customer acknowledges and agrees with the following terms and conditions in connection with the purchase of the Domus Windows & Doors Limited (“Domus”) products listed in Quotation(s) attached hereto:

Domus will generate an Order for each signed Quotation(s) and release same to Production upon receipt of:
1. Quotation(s) signed on each page by the Customer (and the last page dated); by signing a quote the Customer confirms that it has verified the product line choices and the accuracy of all details including selected product types, configurations, units sizes, quantities, type(s) of glass, all other options and all other details; and
2. payment of a non-refundable Deposit of not less than 50% of the full purchase price; Note: there will be no refund(s) after an Order is placed.
Domus will attempt to complete the manufacture of the items listed in the above quotation(s) after they have been released to Production, subject to Force Majeure:
1. if there are 30 or less items within a period of 4 to 6 weeks; or
2. if there are more than 30 items, within a period of 8 to 10 weeks.
Domus will inform the Customer when the ordered items are either nearing completion or are complete at which time the Customer shall within 5 Business Days make Final Payment of the outstanding balance. The Customer is reminded there will be no refund(s) after an Order is placed. If Final Payment is not received (and/or collected if customer chooses to have items collected by an authorised party) within 30 days of such notice by Domus a monthly storage charge of 3% of the purchase price shall be levied. Payments may be made by:
1. wire transfer; or
2. web credit card payment (Visa or Mastercard), in which case a credit card authorisation form must be signed and a Government picture ID must be provided.
1. domestic bank transfer;
2. cheque, delivered to either of Domus showrooms (#57 Factory Road, Chaguanas or #7 Ariapita Avenue, Port of Spain);
3. in-person credit card payment (Linx, Visa or Mastercard) at either of Domus’ showrooms;
4. web credit card payment (Visa or Mastercard), in which case a credit card authorisation form must be signed and a Government picture ID must be provided.
If the parties agree to deliver/accept partially completed Order(s) the Deposit will be prorated on the basis of the agreed price for each completed unit in relation to the total Order value, and the prorated Final Payment amount for the partial Order shall be paid within 5 Business Days. The Customer is reminded there will be no refund(s) after an Order is placed.
Prices are quoted Ex Works Domus’ factory. Upon completion of partial or full Orders the Customer and/or its representative shall have the right to collect the items from the Domus factory. If collected at the factory a “Factory Collection Signoff” document must be signed by the Customer or its representative. If the items are being shipped to another island other than Trinidad the Customer and/or its representative shall be permitted to inspect all items at the Domus factory prior to shipment, in which case a “Factory Inspection Signoff” document must be signed by the Customer and/or its representative. Each of these documents will record items accepted in in good condition, identify any missing items and identify items rejected due to defects. If the Customer chooses not to collect or inspect the items at the factory then Domus will carry out a final quality control inspection of 100% of items prior to shipment to any island other than Trinidad.

If the Customer chooses not to inspect or collect at the factory then Domus will not be held liable for any alleged manufacturing and/or other defects and/or damaged items upon receipt by the Customer. Ownership of the purchased items is transferred to the Customer at the time the items leave the factory and Domus does not accept liability for any damage or loss other than as described in Paragraph 5. a) below. If Customer instructs shipment to another island other than Trinidad Domus will either:
1. ship the Order(s) via FCL (full container load): in which case Domus will at its expense pack the container, brace all ordered items in the container and deliver same to port; if any of the shipped items come loose during shipping then the Customer must take photographs showing the condition of the interior of the container immediately after opening the container door; any damaged items must be photographed in the container during the unloading process and noted on a copy of the applicable Order which must be returned to Domus along with the pictures; if the Customer can provide fully documented evidence of damage to items that came loose during shipping Domus will replace such damaged items at its expense; if the above evidence is not properly documented and delivered then Domus will not be held liable for any damage during shipping;
2. LCL (less than container load): in which case Domus will at its expense crate the items to be shipped and deliver the crate to the port; however Domus will not accept responsibility for any items that are lost or damaged in shipping; if the crate is damaged the Customer may be able to recover the cost of replacing damaged items from the freight carrier but Domus will not play any role in any such claims.
Domus’ warranty will become null and void for any items that are:
1. damaged in shipping; and/or
2. installed incorrectly.

Definitions:
“Business Day” means any day of the week except Saturday, Sunday or any statutory or civic holiday observed in Trinidad and Tobago;
“Delivery Note” means a document prepared by Domus which lists all of the items from the Order(s) collected by the Customer at the factory or at the delivery site (if delivered by Domus) in good condition;
“Force Majeure” means material or labour shortage not within the control of Domus; fire, explosion, flood, wind, hurricane, earthquake or other casualty; labour disputes; war or acts of military authority, rebellion or civil commotion; any event or matter not wholly or mainly within the control of the Domus; an act of God.
